02. OTTO Terms and Conditions of Use

Agreement between you and Mad Art Services Pty. Ltd.

These Terms of Use and Licence Agreement apply to the Otto Mailing Portal and cover Mad Art Services Pty. Ltd. (also referred to as "we", "us", "our", "Mad Art Services", "Mad Art"), any related firm, company or person, and any person or company acting on it's behalf. Otto Mailing Portal (hereinafter "Otto") is supplied to you upon your acceptance without modification. Mad Art reserves the right to change these Terms & Conditions of Use at any time. You are responsible for reviewing these Terms and Conditions of Use in the instance that they change. Your initial and continued use of Otto is your agreement to all such Terms & Conditions of Use. Any violation by you of the Terms & Conditions of Use shall result in immediate forfeiture of your right to access Otto.

Ownership

Otto is created, owned and operated by Mad Art Services Pty. Ltd. ABN 84 126 075 438, Suite 1, Level 11, 118 Queen Street, Melbourne VIC Australia 3000.

Otto is protected by copyright laws and international treaty provisions.

Subscription

Account subscription is for 12 months. It is an upfront payment which is is non refundable.

Account subscription is tied to a unique email address. This is the email address used when first registering an account. As an anti-spamming measure we do not allow the transference of subscriptions to other parties even if in same company or to someone in your company's employ, even with your authorised consent.

Restrictions on subscriptions to the Mailing Portal

  1. Otto can only be used by persons/businesses/companies with an operating website.
  2. You must have a valid domain name email address.
  3. By accepting these terms and you confirm that you are 18 or over.

Restriction of Use

Spam is unsolicited email also known as UCE (Unsolicited Commercial Email). As part of the Terms & Conditions of Use, Account Holders must not use Otto to send out spam or any duplicative or unsolicited email messages (commercial or otherwise). Mad Art monitors emails sent out of Otto. Any violation by you of the Terms & Conditions of Use shall result in immediate forfeiture of your right to use and access Otto. In addition, if actual damages cannot be reasonably calculated you agree to pay Mad Art damages of AUD$5 for each spam or unsolicited bulk email sent from or connected to your account, otherwise you agree to pay Mad Art the actual damages that can be reasonably calculated.

Furthermore by accepting these Terms & Conditions:

  1. You can only send out material from Otto to Contacts that have provided their authorised consent to join your/your company/business' mailing list and have agreed to receiving information via email from you/your company/business.
  2. You cannot send material from Otto that is misleading or deceptive, makes false claims, breaches copyright laws, is deemed as harassment, discriminatory or defamatory or material that may contains viruses.
  3. You agree to abide by the requirement of the Spam Act that any commercial electronic messages sent must contain clear and accurate contact information about the person/business/company that is sending the material. You must provide Mad Art with your full company name, you/your company/business' telephone number and street address. This will automatically appear on the footer of all material sent from Otto. It is your responsibility to ensure this contact information is up to date. Contact details can be updated at any time from "My Account" section in Otto.
  4. All material sent from Otto includes an automatic unsubscribe facility. You acknowledge and will abide by this requirement of the Spam Act.

Joining Fee

Covers the cost of setting up your account and is a one-off payment of $77 inc. GST. A Joining Fee will be charged for all new accounts with the exception of Free Trial accounts.

Account Term

Light and Regular Users have a 365 days term with the first day being the day the account is registered (AEST). Free Trial accounts have a 30 day term with the first day being the day the account is registered (AEST).

Account Expiry

Account expiry date (and days remaining) is clearly visible when you log into your Otto account. The account expiry date is printed on your account registration email and on the Tax Invoice whenever an account is Upgraded or Renewed.

It your responsibility to monitor account days remaining and you should ensure your account is renewed PRIOR to expiry. If an account expires on 10/10/10 it will expire at end of day at 11.59.59 (pm). You will not be able to access your expired account. All account data, including contact list, email templates, uploaded images, campaign reports and any account back ups will be automatically deleted permanently upon Account Expiry. You will need to re-register at www.madart.com.au to set up a new account and a Joining Fee will be charged.

Account Security

You are responsible for maintaining the confidentiality of your password, account details and all activities that occur under your account. You agree to notify Mad Art immediately of any unauthorised use of your account or any other breach of security. Mad Art will not be liable for any loss that you may incur as a result of someone else using your password or UserID, either with or without your knowledge. You could be held liable for losses incurred by Mad Art or another party as a result of someone else using your account or password.

Images, logos provided to Mad Art

By providing materials to Mad Art for use in a template design, you warrant and represent that you own or otherwise control all of the rights to distribute this material. This includes, but is not limited to, designs, logos, names, images, photos and/or other design material.

Fees

All fees associated with the Mailing Portal are clearly displayed on Mad Art's website www.madart.com.au in Australian Dollars and are inclusive of GST or administrative charges where your organisation resides outside Australia. These fees are identical to fees displayed within the Mailing Portal. Fees displayed include Joining Fees, fees associated with the Renewal and Upgrading of accounts, as well as the cost of purchasing Email Credits, Disk Space and Email Templates. Any other work undertaken by Mad Art in addition to this, including any Consultation time even if it's over the phone, is charged at an hourly rate of $77 inc. GST or administrative charges where your organisation resides outside Australia. We have a Minimum Charge of time under 30 minutes of $40 inc. GST or administrative charges where your organisation resides outside Australia. If you require our assistance to upload a template which has not be created by us we will charge our hourly rate.

Mad Art reserves the right to change these fees and you are responsible for reviewing these fees.

Account Upgrades and Renewals

FREE TRIAL ACCOUNT

You can only register once for a Free Trial account using the same email address.

Free Trial accounts can be Upgraded to a Light or Regular User account depending on your requirements, at anytime prior to Account Expiry.

Free Trial accounts can Upgrade to Light User or a Regular User accounts, at any time prior to Account Expiry.

LIGHT USER ACCOUNT

Light User accounts can be Renewed at anytime prior to Account Expiry. Upon account Renewal, Light Users will loose any remaining Email Credits. Their accounts will reset to 100 Contacts, 100 Email Credits with a maximum Disk Space capacity of 5MB and a new expiry date. Light User accounts are limited to 100 Contacts, 100 Email Credits and 5MB disk space.

Light User accounts can be Upgraded to a Regular User at anytime prior to Account Expiry.

REGULAR USER ACCOUNT

Regular User accounts can be Renewed 30 Days prior to Account Expiry. A renewal button, located in "My Account" section, will become active 30 days prior to Account Expiry. Account Holders will receive a prompt to renew their accounts upon login, 30 days until Account Expiry.

Regular User accounts will be Renewed with the same Number of Contacts as originally purchased unless Account Holders choose to Upgrade their Contacts. Remaining 'unused' contacts are not carried across in the new Account Term as they expire at the end of the Account Term. When the allowed Contacts Quota is reached, Account Holders will need to Upgrade their account by selecting a larger Contact Quota.

Remaining 'unused' Email Credits do not expire in Regular User accounts and will be carried across to the new Account Term.

Account Upgrade and Downgrading

You can Upgrade your accounts at anytime during the Term of the account. Free Trial to Light or Regular Users; Light User to Regular User; Regular User can Upgrade the Number of Contacts.

If you are Light User and reach your Contact Quota you will receive an error message notifying you to Upgrade to a Regular User. You cannot sent out Email Templates until you have Upgraded your account to a Regular User. If you are a Regular User and you reach your Contacts Quota, you will get an error message notifying you to Upgrade your Contact List. In this instant only upon account Upgrade will you be able to send out Email.

You cannot Downgrade your Otto account.

Disk Space

Refers to the amount of memory allocated to store account data. Data includes your account details, contact list, images, email templates, campaign reports and system back up. Disk space provided is more than adequate to cover data storage needs, however over time you may need to increase your Disk Space. Disk space usage is documented in My Account section. When you reach your Disk Space Limit, you will get an error message notifying you to purchase additional Disk Space. You will not be able to send out new campaigns, create new Email Templates, add new Contacts or upload new images to your account until you purchase additional disk space. Regular Users can top up their Disk Space for $5/5MB at anytime, and as many time as required. Free Trial and Light Users accounts are restricted to 5MB therefore they will need to Upgrade to a Regular User whenever additional Disk Space is required.

Data stored in your account will display in KB when under 1MB. When over 999KB units are displayed in MB up to 2 decimal places eg. 10.018MB becomes 10.02MB

Additional Disk Space is Calculated as follows:

Total Disk Space=Initial Disk Space + Top Up Disk Space; Remaining Disk Space = Total Disk Space - Used Disk Space.

Email Templates

Otto allows you to create or upload your own Email Templates to your accounts free of charge.

You can purchase Email Templates from us. The cost includes design, programming and uploading the template to your account.
